Please read these Terms and Conditions ("Terms") carefully before using veripledge.com (the "Service") operated by VeriPledge ("we", "us", or "our").
By accessing or using the Service, you agree to be bound by these Terms. If you disagree with any part of these Terms, you may not access the Service.
1. Acceptance of Terms
These Terms apply to all visitors, registered users, and entity owners who access or use the Service. You must be at least 16 years of age to create an account. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
2. Description of Service
VeriPledge is a public transparency registry that allows organizations to declare and publicly record their operational and ethical standards ("Pledges"). The Service allows users to:
- Browse and search a public directory of registered entities and their declarations
- Create an account and claim or register entity profiles
- Publish pledge declarations on behalf of entities they are authorized to represent
- Verify domain ownership to authenticate entity profiles
- Embed VeriPledge badges and generate transparency statements
3. User Accounts
To access protected features, you must register for an account using a valid email address. You are responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access to your account
You may not share your account with others. We reserve the right to terminate accounts that violate these Terms.
4. Entity Claims and Authorized Representation
By claiming an entity profile, you declare that you are an authorized representative of that organization. Making a false or fraudulent claim is a material violation of these Terms and may result in immediate account suspension.
Domain verification serves as our primary mechanism for authenticating authorized representatives. Passing domain verification by unauthorized means does not constitute authorization.
5. Pledge Declarations and the Public Ledger
Declarations are permanent. Once a pledge is published to the VeriPledge public ledger, it becomes a permanent, time-stamped record and cannot be deleted. This is a core design principle of the Service to ensure historical accountability.
You represent and warrant that:
- All pledge declarations you submit are truthful and accurately reflect your organization's actual practices at the time of declaration
- You have authority from your organization to make the declaration
- You understand that making false declarations may constitute deceptive business practices under applicable law
We reserve the right to flag or annotate declarations that we have reason to believe are inaccurate, but we are not obligated to verify the accuracy of any declaration.
6. Prohibited Conduct
You agree not to:
- Submit false or misleading information about yourself or any entity
- Claim entity profiles you are not authorized to represent
- Impersonate any person, organization, or brand
- Use the Service to harass, defame, or harm others
- Attempt to gain unauthorized access to other users' accounts or data
- Scrape or harvest data from the Service beyond reasonable personal or research use
- Interfere with the integrity, performance, or availability of the Service
- Violate any applicable local, national, or international law or regulation
7. Intellectual Property
The VeriPledge platform, including its design, code, trademarks, and original content, is owned by VeriPledge and protected by applicable intellectual property laws. Entity profile data and pledge declarations submitted by users remain the intellectual property of the submitting organizations. By submitting this data, you grant VeriPledge a non-exclusive, worldwide, royalty-free license to display, distribute, and make publicly accessible that data as part of the Service.
8. Disclaimers
The Service is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind. We do not independently verify the accuracy of entity declarations. The presence of an entity in the VeriPledge directory or the existence of a pledge declaration is not an endorsement by VeriPledge of that organization's practices.
9. Limitation of Liability
To the fullest extent permitted by law, VeriPledge and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of or inability to use the Service. Our total liability to you for any claims arising from use of the Service shall not exceed the greater of the amount you paid to us in the preceding 12 months or USD $100.
10. Termination
We may suspend or terminate your account at any time, with or without notice, for conduct that we reasonably believe violates these Terms or is otherwise harmful. Upon termination, your right to use the Service ceases immediately. Publicly published pledge data will remain in the public ledger as described in Section 5.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts located in Delaware, USA.
12. Changes to These Terms
We reserve the right to modify these Terms at any time. We will provide at least 14 days' notice of material changes by posting the new Terms on this page and, where applicable, notifying you by email. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of the changes.
